TOLLING IN UKRAINE: LEGAL FRAMEWORK AND PRACTICAL ASPECTS OF ENTERING INTO A TOLLING AGREEMENT

Abstract

The article examines the legal, organizational, and economic aspects of concluding agreements for the processing of toll raw materials between business entities, including limited and additional liability companies, and state-owned enterprises. This form of cooperation allows private sector entities to attract resources without significant investments in production infrastructure, while state-owned enterprises gain the opportunity to effectively utilize existing capacities and generate additional revenues.

At the center of attention is the agreement for the processing of toll raw materials, which in business practice is often implemented in the form of tolling cooperation. Its legal nature is defined as a type of contract of work in accordance with the Civil Code of Ukraine. The essential conditions of such an agreement are outlined, including the subject, terms, cost of services, procedure for transferring raw materials, and returning finished products.

The organizational advantages for both parties are analyzed: flexibility in management decisions, optimization of logistics, tax efficiency, and risk distribution. At the same time, potential difficulties are noted: differences in decision-making procedures between private and state structures, the need for legal transparency, compliance with requirements for the publicity of agreements, quality control, and financial liability.

The authors conclude that the agreement for the processing of toll raw materials is a promising tool for economic interaction between the state аnd private sectors, which, with proper legal formalization, can provide both parties with sustainable competitive advantages.
